These Terms govern your use of the Zennor platform operated by STRATOSIA DIGITAL PRIVATE LIMITED (“Company”), registered at Borivali West, Mumbai, Maharashtra, India. By accessing or using Zennor, you agree to these Terms.

1. About Zennor

Zennor is a B2B SaaS platform for aesthetic clinics, dermatology clinics, and med spas — enabling membership management, loyalty programs, patient engagement, bookings, QR-based redemptions, offers, automated campaigns, and CRM features. It also powers a patient-facing experience for clinic customers.

2. Parties & Relationships & DPDPA Compliance

  • Zennor ↔ Clinic: Zennor provides a SaaS platform to clinics under a subscription agreement. STRATOSIA DIGITAL PRIVATE LIMITED operates solely in the capacity of a “Data Processor” under the Digital Personal Data Protection Act, 2023 (DPDPA), and the subscribing Clinic acts as the sole “Data Fiduciary.”
  • Clinic ↔ Patient: Clinics independently provide healthcare services. Zennor is a technology intermediary only and is not a party to any treatment or clinical relationship.

The Clinic represents, warrants, and covenants that it has obtained valid, verifiable, informed, and lawful consent from all patients and end-users prior to uploading any personal or sensitive personal data into the Zennor platform. Zennor shall process such data strictly in accordance with the documented instructions of the Clinic and for the sole purpose of providing the subscribed SaaS operational services. The Clinic agrees to fully, unconditionally, and immediately indemnify STRATOSIA DIGITAL PRIVATE LIMITED against any claims, investigations, fines, or penalties levied by the Data Protection Board of India or any other regulatory body arising from the Clinic’s failure to obtain lawful consent or establish a valid legal basis for processing.

3. Eligibility

  • Only legally registered Indian businesses may subscribe as clinic accounts.
  • Clinic administrators must be authorised business representatives, aged 18 or above.
  • All registration information must be accurate and kept up to date.

4. SaaS Licence

Zennor grants a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for internal business purposes during the subscription period. You may not sublicence, resell, reverse-engineer, or use the platform for any unlawful purpose.

5. Clinic Responsibilities & Advertising Compliance

  • Obtain all lawful consents from patients before entering their data into Zennor.
  • Comply with the DPDPA 2023 and applicable Indian data protection laws.
  • Maintain the confidentiality of login credentials and session tokens.
  • Maintain all required professional registrations, clinic licences, and medical practice approvals.

The Clinic warrants that all marketing campaigns, treatment claims, and patient media (including before-and-after photographs and testimonials) uploaded or disseminated via the Zennor platform comply strictly with all applicable laws, including the Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954, and the advertising codes promulgated by the Advertising Standards Council of India (ASCI). The Clinic shall not publish claims purporting to cure diseases specified under Schedule J of the aforementioned Act. Zennor operates as a neutral intermediary under Section 79 of the Information Technology Act, 2000, and reserves the unilateral right to immediately suspend accounts and remove any content flagged by regulatory authorities without prior notice or liability.

6. Absolute Medical Disclaimer & Non-Liability

Zennor is exclusively a digital practice management and administrative tool. STRATOSIA DIGITAL PRIVATE LIMITED does not engage in the practice of medicine, does not provide medical advice, diagnosis, treatment, or clinical prescriptions, and does not evaluate the medical competency of any practitioner utilizing the platform. The use of the platform does not, under any circumstances, create a doctor-patient relationship between Zennor and any end-user or patient.

All clinical decisions, diagnostic conclusions, cosmetic procedures, and medical outcomes are the sole and absolute responsibility of the registered medical practitioner and the Clinic. To the maximum extent permitted by applicable Indian law, STRATOSIA DIGITAL PRIVATE LIMITED expressly disclaims any and all liability for medical negligence, diagnostic errors, failed cosmetic procedures, adverse patient reactions, or any injury resulting from services obtained at a subscribing Clinic. In no event shall Zennor’s total aggregate liability for any claims arising out of or under this agreement exceed the total SaaS subscription fees actually paid by the Clinic in the twelve (12) months immediately preceding the claim.

7. Payments & Subscriptions

  • Subscription fees are as communicated at onboarding or renewal, billed in advance
  • Payments are processed through PayU and authorised Indian payment gateways
  • GST applies on subscription fees per prevailing Indian tax regulations
  • Non-payment after a 7-day grace period may result in platform suspension

8. Intellectual Property

All IP in the Zennor platform — software, UI/UX, trademarks, branding — is owned by or licenced to STRATOSIA DIGITAL PRIVATE LIMITED. Clinics retain full ownership of their uploaded content and grant Zennor a limited licence to host and process it solely for platform delivery.

9. Third-Party Services

Zennor integrates with Google Firebase, PayU, WhatsApp Business API, and analytics providers. Their respective terms and privacy policies apply. Zennor is not responsible for third-party service availability or practices.

10. Acceptable Use & Telecom (TRAI) Compliance

You may not use Zennor to upload illegal content, collect patient data without consent, conduct fraudulent transactions, or impersonate any person or entity.

The Clinic acknowledges that it acts as the Principal Entity (PE) under TRAI TCCCPR guidelines for all communications (SMS, WhatsApp, Push Notifications) dispatched via the Zennor platform. The Clinic warrants that it is registered on the requisite DLT platforms and will not transmit Unsolicited Commercial Communications (UCC) to individuals registered on the National Customer Preference Register (NCPR/DND). In the event of a verified DND/NDNC violation initiated by the Clinic that results in a regulatory penalty, formal warning, or telecommunication resource suspension against Zennor or its aggregators, the Clinic shall be liable for an immediate contractual penalty of ₹25,000 per violation, in addition to providing full indemnification for any statutory fines levied against STRATOSIA DIGITAL PRIVATE LIMITED.

11. Limitation of Liability

  • Zennor is not liable for indirect, incidental, or consequential damages
  • Total aggregate liability shall not exceed subscription fees paid in the preceding 12 months
  • Zennor is not liable for clinical outcomes, treatment results, or patient experiences delivered by clinics

12. Suspension & Termination

  • Zennor may suspend or terminate access for Terms breaches, non-payment, or platform misuse
  • Upon termination, clinics have 30 days to request a data export
  • Certain data may be retained as required by applicable Indian law

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the competent courts at Mumbai, Maharashtra, India.

14. Changes

Material changes will be notified with a minimum of 14 days notice. Continued use after the effective date constitutes acceptance.
